Department purpose and structure
Allen & Overy's leading U.S. Corporate practice routinely advises clients on their largest and most complex U.S. public and private transactions. We focus on representing innovative and dynamic clients such as ASML, Associated, Bridgepoint, EQT Partners, Google, Haveli Investments, LinkedIn, Meta, Mubadala, Novartis, SAP, Zendesk and many more. We are able to provide expertise and scope that most U.S. law firms simply cannot match, with a consistently high level of service ensuring our clients return to us time and time again for their most important deals. Our Boston office is a growing hub with industry-leading M&A/ Corporate partners looking to expand their Life Sciences practice, further increasing the firm's global, cross-border capabilities.

Role purpose
Qualified candidates will have experience handling M&A transactions and a solid understanding of corporate law and the Life Sciences sector. Associates joining our growing Boston team will have the opportunity to advise corporate Life Sciences clients in connection with a variety of transactions. Our associates enjoy a high level of responsibility and can expect to continue their career development in a team-based environment that values mentoring and professional growth.

Role & Responsibilities
-Represent Life Sciences companies, founders and investors in a variety of corporate transactions, including formation and governance, mergers and acquisitions and venture capital financing.
-Draft, review and negotiate primary and ancillary transaction documents.
-Assist in managing due diligence and all logistical preparation for signing/closing.
-Communicate with appropriate audiences on open issues and transaction documents.

Team
This individual will report directly to the Boston-based Corporate Life Science partners. The Team also works closely with other partners, associates, and staff, both in the U.S. and abroad.

Minimum Requirements
-A Juris Doctor (JD) degree (LLM or foreign equivalent) from an accredited law school.
-Must be admitted, and in good standing, to the bar in the jurisdiction in which you will practice, or must provide written confirmation as to ability to become admitted in that State or District.

Preferred Requirements
-Substantial experience in Corporate/ M&A transactions with particular exposure to the Life Sciences sector.
-Strong analytical, research, and writing skills.
-Excellent communication and interpersonal skills.
-The ability to work well under pressure and manage your time effectively.
-Class years: 2022-2018.

Salary Range: $235,000-$390,000 (determined by JD Year).
